"User" or "You" refers to any individual or entity accessing our website or engaging our services. "We," "Us," or "Our" refers to Lumiivexxdss, located at 87 Sathon Nua Road, Silom, Bang Rak, Bangkok 10500, Thailand. "Agreement" refers to these Terms and Conditions along with any project-specific proposals or contracts. "Content" refers to all text, data, graphics, and materials available on our website or delivered as part of our services.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services.

3. Service Description

Lumiivexxdss provides AI advisory and consulting services to businesses in Thailand and the broader Southeast Asian region. Our services include AI Readiness Assessments, Custom AI Model Development, and Enterprise AI Strategy and Governance advisory. Service availability may vary based on project scope, team capacity, and geographic considerations. Specific service terms, deliverables, and timelines are defined in individual project proposals.

4. User Responsibilities

When using our website or engaging our services, you agree to provide accurate and complete information when submitting inquiries or entering into service agreements. You agree not to use our website for any unlawful purpose, attempt to gain unauthorized access to our systems, reproduce or distribute our content without written permission, or misrepresent your identity or affiliation. During active service engagements, you are responsible for providing timely access to data, systems, and stakeholders as outlined in the project scope.

5. Intellectual Property

All content on our website, including text, design, logos, and graphics, is the intellectual property of Lumiivexxdss and is protected under Thai copyright law. You are granted a limited, non-exclusive, non-transferable license to access and view our website for personal or internal business evaluation purposes. For client engagements, intellectual property ownership of deliverables is defined in the individual project agreement. Generally, custom models and project-specific outputs become the property of the client upon full payment, while Lumiivexxdss retains ownership of its proprietary methodologies and frameworks.

6. Payment Terms

All service prices are quoted in Thai Baht (฿). Payment terms, schedules, and methods are specified in individual project proposals. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur a monthly charge of 1.5% on the outstanding balance. Lumiivexxdss reserves the right to suspend services on accounts with overdue payments exceeding 60 days.

7. Refund Policy

If you wish to cancel a service engagement before work has commenced, you may request a full refund of any advance payment. Once work has begun, refunds are calculated on a pro-rata basis for work not yet completed, minus any costs already incurred. Refund requests must be submitted in writing to [email protected] and will be processed within 30 business days.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the course of any engagement. This obligation survives the termination of the agreement for a period of three years, unless a longer period is required by law or specified in a separate non-disclosure agreement.

9. Disclaimers

Our services are provided on an "as is" and "as available" basis. While we strive to deliver high-quality AI advisory and development services, we do not warrant that our services will meet every specific expectation, as AI model performance depends on factors including data quality, system environment, and organizational adoption. The information on our website is for general informational purposes and does not constitute professional technical, legal, or financial advice.

10. Limitation of Liability

To the maximum extent permitted by Thai law, Lumiivexxdss's total liability for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, regardless of the theory of liability. Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, or infrastructure failures.

11. Indemnification

You agree to indemnify and hold Lumiivexxdss harmless from any claims, damages, losses, or expenses arising from your use of our website or services in violation of these terms, any infringement of third-party rights resulting from data or materials you provide, or any breach of your obligations under a service agreement.

12. Termination

Either party may terminate a service engagement by providing 30 days' written notice. Lumiivexxdss reserves the right to terminate or suspend access to our website at any time without notice for conduct that violates these terms. Upon termination, all outstanding fees for work completed remain due. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.

13. Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or related to these terms shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the dispute shall be submitted to the jurisdiction of the courts of Bangkok, Thailand. Before initiating any legal proceedings, both parties agree to attempt informal mediation.

14. General Provisions

These terms constitute the entire agreement between you and Lumiivexxdss regarding use of our website and general service terms, superseding any prior agreements. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force. Our failure to enforce any right or provision shall not constitute a waiver of that right. You may not assign your rights or obligations under these terms without our written consent. Lumiivexxdss may assign its rights and obligations to a successor entity.

15. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. Changes become effective upon posting to this page with a revised effective date.
